Corporate and Securities Attorneys Join Carlton Fields in Miami

MIAMI - Carlton Fields is pleased to announce that Dennis J. Olle, Seth P. Joseph, Linda C. Frazier, Carlos A. Mas, and Jay M. Rosen have joined the Firm in the Miami office.

Olle has an extensive securities practice including public and private offerings, corporate disclosure, and mergers and acquisitions. In addition, he represents clients in capital raising and all types of general corporate matters. Olle received his J.D., with honors, from Columbia University in 1976.

Joseph has an extensive securities and mergers & acquisitions practice. He represents corporate issuers and underwriters in public and private offerings, merchant banks, private equity funds, venture capital firms, and emerging clients in acquisition and financing activities. He has extensive experience in the telecommunications and technology industries. He received his J.D., magna cum laude, from the University of Miami School of Law in 1979.

Frazier’s primary areas of practice include corporate, securities, and general business law. She represents public and private companies in connection with entity formation and governance, equity and debt financing, and mergers and acquisitions. She also has extensive securities experience with public and private offerings and compliance with securities law. She received her J.D. from the University of Miami School of Law in 1993. She is admitted to practice law in Florida and Massachusetts.

Mas’ primary areas of practice include corporate, securities, and general business law. He represents private and public companies in connection with various matters including entity formation and governance, equity and debt financing, mergers and acquisitions, and securities law matters. He also has experience in the field of municipal finance. He received his J.D., with honors, from George Washington University School of Law in 1998.

Rosen represents public and private companies in connection with entity formation and governance, equity and debt financing, mergers and acquisitions, and corporate tax and securities matters. He received his J.D., cum laude, from the University of Miami School of Law in 2002 and his LL.M. in taxation from Boston University School of Law in 2003. He is admitted to practice law in Florida and Massachusetts.
