Steven J. Brodie and Nathaniel L. Doliner Serve as Speakers at the 30th Annual Federal Securities Institute

Miami, Fla. – Carlton Fields’ Miami Shareholder, Steven J. Brodie and Tampa Office Managing Shareholder, Nathaniel L. Doliner, presented at the 30th Annual Federal Securities Institute: “After the Financial Crisis – Return of Deal Activity and Further Implementation of Legislative and Regulatory Change.” The conference took place on February 16 and 17, 2012 at the Eden Roc Renaissance Hotel in Miami Beach.

Brodie served as a panelist for the program, "The Reinvigorated SEC Enforcement Program and Private Litigation," and provided insight on issues including SEC enforcement priorities, effects of the new SEC whistleblower rules, D&O Insurance and securities class actions. Brodie focused his presentation on "Current Developments in D&O Insurance Coverage."

Doliner discussed new approaches to strategic and financial transactions including banker updates on the M&A environment; keys to success on offense and defense of hostile deals; trends on conditionality, dealing with financing and regulatory risk and tender offers and structuring issues in negotiated deals.

The event provides practical insight and understanding of some of the key corporate and securities issues facing practitioners and corporate counsel, drawing upon a faculty of nationally recognized experts from private practice, corporations and the SEC, who examine today's critical issues in-depth, offering their perspective on practice approaches for dealing with the challenges facing clients. The event was presented by West LegalEdcenter and The Business Law Section of The Florida Bar.

Brodie is a commercial litigator in state and federal courts. His practice includes civil litigation with a focus on insurance, business disputes, and general commercial issues. In addition, he provides professional and business guidance and lobbying services, serving as outside general counsel to several companies. He is a member of The Florida Bar, American Bar Association, and Dade County Bar Association. He has co-authored books and has lectured extensively on his fields of expertise.

Doliner has extensive experience in mergers and acquisitions, including the sale or acquisition of manufacturing companies, software and other technology companies, hospitals, nursing homes, home health agencies and behavioral healthcare companies, temporary staffing businesses, insurance and related companies, broadcasting stations, advertising agencies, beverage businesses, electric utilities and automobile dealerships. He also advises boards of directors and board committees as to corporate governance issues. He serves as Vice Chair of the American Bar Association (ABA) Business Law Section’s International M&A Subcommittee. Prior to this role, he chaired the ABA’s Business Law Section (2009-2010) and chaired the ABA’s Mergers & Acquisitions Committee (1998-2002). He also serves on the advisory board of Mergers & Acquisitions Law Report, a weekly BNA publication.
