Dennis Olle advises clients on a wide range of corporate matters, including corporate disclosure and governance issues. He provides guidance on entity selection and formation, including the structuring of investment vehicles for both real estate and non-real estate matters. His extensive corporate practice also encompasses capital formation, including both public and private offerings, SEC filings, and mergers and acquisitions transactions. Dennis regularly represents buyers and sellers in complex, middle-market transactions across a range of industries.
Experience
- Represented the buyer of an aviation parts facility acquired from individual owners, including navigating significant FAA regulatory issues.
- Represented the buyer in the acquisition of a $200 million maritime shipping company operating in the Bahamas and the Caribbean.
- Represented the sellers of a medical evacuation and aerial fire suppression helicopter services business in its sale to a strategic buyer, including structuring a portion of the consideration as rollover equity.
- Represented a manufacturer of naval pumps in its sale to a strategic buyer, with a portion of the purchase price structured as rollover equity.
- Represented the sellers of a financial advisory firm (including wealth management, RIA, and family office services) in its sale to a major insurance, financial services, and HR consulting firm, including rollover equity consideration.
- Represented the owner of multiple real properties in connection with a sale to a real estate partnership in anticipation of an UPREIT transaction involving the issuance of operating partnership units.
