Daniel Weede regularly represents institutional real estate lenders, investors, and developers in commercial lending, acquisitions/dispositions, and development transactions, including mixed-use and joint venture projects. In addition, Mr. Weede has extensive experience in representing hotel brands, owners, developers, lenders, and managers in all aspects of hotel ownership, management, and financing.

Mr. Weede's experience includes representing one of the world’s largest hotel licensing and operating companies with hotel management agreements and with the acquisition, development, and disposition of hotel properties across North America and the Caribbean.

Mr. Weede was selected by Georgia Super Lawyers as a 2005 Rising Star, listed in Euromoney's Guide to the World's Leading Real Estate Lawyers (2004, 2006, 2008, 2010, and 2012) and is the co-founder and President of the Atlanta Hospitality Alliance, an approximately 300 member Atlanta-based professional development and networking group that meets quarterly to socialize and discuss hospitality industry trends and developments.

Representative Matters
General Matters:
- Counsel to one of the nation’s largest retail companies in the entire development life cycle, including land acquisitions and assemblages, development, permitting and entitlements, restrictive easements and covenants, leasing and back-end and surplus property sales.
- Counsel to one of the world’s largest hotel licensing and operating companies in structuring hotel management agreements and in the acquisition, development and disposition of hotel properties across North America and the Caribbean.
- Recently represented a hotel company in structuring its $1 billion multi-property/multi-portfolio/multi-country hotel disposition designed to monetize strategic hotel assets in a tax-efficient manner while retaining non-terminable management rights to the properties.
- Counsel to a variety of educational institutions including recent representation ofa premier state university in the structuring and development of an on-campus, 40-acre research park.
Specific Matters:

Hotel Development
- Negotiation of a long-term hotel management agreement; master declaration of covenants, conditions and easements; residential sales, marketing and licensing agreement for an Atlanta, Georgia vertical mixed-use development that integrated aspects of hotel, branded residential condos, office and retail uses.
- Representation in site acquisition, entitlement process and project development activities for the new hotel brand. The work included negotiation of complex easement and restriction agreements to address issues involved with shared amenities and mixed-use restrictions.
- Negotiation of a long-term management agreement, technical services agreement and related development/easement agreements for an upscale hotel in a mixed-use project in Charleston, South Carolina’s historic district.
- Counsel in connection with the creation and implementation of a national program for the corporate acquisition and development of the initial 20 hotels in the launch of the hotel brand.
- Negotiation of the development, easement and maintenance agreements for two approximately $10 million pedestrian bridges connecting three downtown Atlanta hotels.
- Negotiations with homeowner association and analyzing zoning and land use matters to ensure optimum repositioning of an Atlanta vertical mixed-use luxury hotel and condominium complex.
Purchases and Sales of Hotel Properties
- $450 million portfolio sale of 13 hotel properties in the United States, Canada and the Caribbean to monetize strategic hotel assets in a tax efficient manner while retaining non-terminable management rights to the properties.
- $300 million sale of a majority partnership interest to hotel properties with the retention of long-term management rights for luxury hotels in Chicago, IL and Miami, FL.
- $50 million sale of a full service hotel encumbered by a long-term management agreement in Kansas City, KS.
- Complex tri-party portfolio sale of 11 hotel properties with contemporaneous negotiations to terminate existing management agreements and negotiate new management agreements.
Management and Operating Agreements
- Representation of a hotel company in structuring its $1 billion multi-property/multi-portfolio/multi-country hotel disposition designed to monetize strategic hotel assets in a tax-efficient manner while retaining non-terminable management rights to the properties.
- Negotiation of a long-term management agreement and related technical services agreement to redevelop and re-flag a large downtown Atlanta hotel with a luxury hotel brand.
- Negotiation of a long-term management agreement for mixed use hotel, office, retail and parking complexes in Baltimore, MD.
- Lead counsel to a Canadian boutique hotel company in the negotiation of its management and acquisition documents for an Atlanta, GA property acquisition to address critical issues in U.S. agency and ownership laws.
