We work with developers, property owners, and property management companies including the role of exclusive landlord leasing counsel. Office properties range from small and medium sized buildings to Class A office parks and other Class A office spaces. Our attorneys also handle leasing matters involving regional and power shopping centers, as well as smaller “strip” centers. Currently, Carlton Fields is handling the leasing of well over 60 shopping centers and office buildings located in numerous states.
As landlord leasing counsel, we advise clients on all aspects of a property’s operation, including:
- lease negotiations
- “ghost writing” letters including rapid review and turnaround on LOI issues
- tenant disputes and controversies over money and other performance issues
- dealing with neighboring homeowner communities
- local government and utility interactions
We also assist tenants in reviewing and negotiating commercial property leases and resolving disputes and controversies; and regularly assist companies with:
- negotiating “last chance” renewal notices
- capping traditional “pass-through” expenses (additional monthly fees including for landscaping, outdoor lighting, common area maintenance, insurance and real estate taxes)
- establishing less restrictive assignment or sublet rights
- negotiating “buy-out” rights and other strategic early exit options
- gathering and analyzing key lease terms (size in square footage, proposed rent, duration of lease, and renewal options)
- developing letters of intent
Our attorneys also frequently handle litigation matters for landlord and tenant clients, including landlord construction obligations, general tenant performance issues, monetary and non-monetary defaults under lease, Common Area Maintenance (CAM) issues, insurance obligations under lease, government permitting issues, exclusive use provisions, restrictive covenants, rent escalation clause issues, evictions, damages, and ADA and environmental issues.
