Four Corporate Attorneys Join Carlton Fields in Atlanta

ATLANTA (September 21, 2009) – The law firm of Carlton Fields is pleased to announce that Susan L. Spencer, Terresa R. Tarpley, and James Walker IV have joined the firm as shareholders and Shellie L. Hammock has joined the firm as an associate in the Atlanta office. These four corporate attorneys previously practiced with the law firm of Morris, Manning & Martin.
Their team has extensive experience representing companies and investors in complex mergers, acquisitions, joint ventures, and equity and debt financings. They have counseled clients in hundreds of domestic and international transactions totaling more than $25 billion in value.
“We welcome Susan, Terresa, Jim, and Shellie to the firm. They practice at the highest level and will complement the firm’s capabilities,” said Wayne Shortridge, Managing Shareholder of Carlton Fields’ Atlanta office. Carlton Fields now has 13 attorneys who practice in the corporate group in Atlanta.
Spencer represents clients in mergers, acquisitions, dispositions, public and private sales of securities, leveraged buyouts, recapitalizations, commercial credit facilities, joint ventures, and other complex business transactions. Her practice spans a wide range of industries, including the financial services, transaction processing, franchising, life sciences, supply chain management, telecommunications, and technology industries. She also frequently advises clients and their management teams on fiduciary duty, organizational structuring, operating contract, and other general corporate matters. Spencer received her J.D. from the College of William & Mary and her B.A. from Bucknell University. She is admitted to practice in Georgia, the District of Columbia, Maryland, and Virginia.
Tarpley represents middle-market growth companies in complex corporate transactions, including equity and debt financings, mergers and acquisitions, management buyouts, and joint ventures. She regularly advises clients on general corporate issues, such as corporate governance, fiduciary matters, and shareholder issues, and assists clients in the negotiation and drafting of significant operating contracts. Tarpley has also represented numerous issuers and many underwriters in initial and secondary public offerings of securities. She received her J.D. from Yale University and her B.B.A. from the University of Georgia. She is admitted to practice in Georgia and New York.
Walker’s practice is focused on representing companies and investment funds in complex capital raising, acquisition, divestiture, and joint venture transactions. He has represented companies, investors and investment funds in a wide variety of industries, including in the financial services, real estate, technology, and telecommunications industries. Walker also has extensive experience representing issuers and underwriters in public and private offerings of equity and debt securities. In this capacity, he has acted as counsel in offerings by many of the most prominent growth companies in the Southeast. Walker received his J.D. from Duke University and his B.A. from Davidson College. He is admitted to practice in California and Georgia.
Hammock concentrates her practice on public and private company mergers and acquisitions, securities regulation, debt and equity financings, corporate governance, and general corporate matters. She represents companies at all stages of development in a variety of industry sectors, including telecommunications, financial services, restaurant and food service, real estate, and green agriculture. Hammock received her J.D. from Mercer University Walter F. George School of Law and her B.A. from Furman University, and she is admitted to practice law in Georgia.
