- Advise clients on all aspects of project design and construction, with a special focus on contract preparation, review, negotiation, and administration
- Key matters include:
- Represented general contractor/construction manager/design-builder in the preparation, negotiation, and administration of design and construction contracts for more than 30 MLB ballparks, NFL stadiums, and NBA/NHL arenas around the country
- Represented owner in the preparation, negotiation, and administration of various design and construction contracts for a state-of-the-art museum facility in south Florida
- Developed standard form contract documents and project administrative procedures for numerous large public and private owners (e.g., counties, municipalities, school boards, universities, hospitals, hotels, and retailers)
Leasing and Management
- Thousands of leases, lease renewals, and amendments negotiated and prepared

Community, Condominium, and Resort Development
- Experience structuring a wide variety of developments throughout the Southeast and in Colorado
- Represent developers and lenders on all types of condominium projects (residential, commercial, mixed-use, condo-hotel, medical and other office, marina, industrial)
- Represent developers and lenders on all aspects of community and resort development projects (master planned communities, subdivisions, ski and golf resorts, club facilities and recreational amenities, shared use agreements)
- Structure development projects including sustainable development, green building, downtown and brownfields redevelopment, renewable energy generation, and historic preservation
- Counsel on legal issues surrounding creation and operation of timesharing, vacation club, fractional, and interval use programs
- Advise on state and federal regulatory compliance including Interstate Land Sales Full Disclosure Act
- Represent numerous lenders and bulk purchasers on distressed condominium and community assets, advising on structuring, liability protection, and regulatory compliance (including Florida Distressed Condominium Relief Act)
Mixed Use Developments and Public/Private Partnership
- Key matters include:
- Lead counsel for development of CityPlace, a model for mixed-use development projects and public/private partnerships in downtown West Palm Beach.
- Represent developer selected as “master developer” for Palm Beach County’s convention center
- Lead counsel for the development of Bartram Park, a model for green urban development in Duval and St. Johns counties.
Distressed Asset and Workout Transactions
- Handle large-scale commercial foreclosures; commercial loan workouts, including loan/mortgage modifications, deed-in-lieu agreements, cross-default/cross-collateralization agreements, loan bifurcation agreements, and cash-flow mortgages; and CMBS loans and related CMBS loan servicing
