Gabriella Paglieri has both litigation and business transactions experience. She has worked on diverse matters, and developed particular capabilities regarding SEC investigations under the Investment Advisers Act of 1940 and the Securities Exchange Act of 1934. In addition to conducting document review and creating privilege logs, she has drafted memoranda on the SEC's personal jurisdiction over foreign corporations and officers, and on SEC Cease and Desist Orders for violations of Sections 203 and 206 of the Investment Advisers Act of 1940 and the rules thereunder.
Ms. Paglieri also assists with motion practice and helps draft pleadings and briefs filed in state and federal courts. In this capacity, her experience includes matters related to patent infringement, a civil RICO action, and trusts and estates.
Additionally, Ms. Paglieri has helped review, draft, and prepare contracts and corporate documents. For example, she assisted in the closing of a construction financing and refinancing deal, and also drafted merger agreements between LLCs and between an LLC and a corporation.
