Overview

Once our clients’ real estate investments are onboarded, Carlton Fields attorneys provide ongoing legal assistance in connection with their management of those assets. Institutional lenders seek our advice when presented with difficult loan servicing requests or when they require assistance with loans in danger of default. We provide value to our clients that own commercial and industrial buildings by implementing and executing principled leasing programs. Our clients turn to us when thorny land use and environmental issues arise, or when careful tax planning or strategizing is required. Condominium associations and resort developers seek our advice to address project issues.   • Leasing
    Carlton Fields attorneys provide comprehensive commercial leasing representation to both landlords and tenants in transactions involving office buildings, shopping centers, industrial and warehouse properties, and medical facilities. Through our experience representing both sides, we have gained a deep understanding of their respective positions and become highly-effective negotiators.
     
    Our work includes drafting and negotiating space leases, ground leases, lease amendments and subleases, as well as related documents such as lien subordination agreements; assignment, sublease and change of control consent instruments; indemnity letters; non-disclosure agreements; and subordination, non-disturbance and attornment agreements. We also draft and negotiate licensing, use, occupancy and building access agreements on behalf of building owners and space licensees, users, and occupants.
     
     
  • Condominium and Other Associations
    We help clients structure, negotiate, and document complex real estate and resort developments throughout Florida and numerous other states. These projects include master planned and mixed-use communities; condominiums; subdivisions; timeshares; country clubs and golf courses; hotel and resort developments; and destinations. From a project’s concept phase to its financing, construction, marketing, sales, and management phases, we represent and work closely with developers, foreign and domestic sources of capital, architects, contractors, brokers, marketers, managers, and governmental authorities.   • CMBS and Loan Servicing
    Our experience in mortgage loan and other lending transactions ranges from acquisition and permanent loans to construction, participating mortgage, and revolving credit facilities; and from structured and mezzanine financings to loan servicing and workouts and restructurings. We frequently represent institutions lending on their own balance sheet or on behalf of managed funds. We also have extensive structured capital markets experience.   • Workouts and Creditors' Rights
    We provide strategies and solutions throughout all phases of problem loan resolution, including workouts, litigation, and bankruptcy proceedings. Our representation begins with a thorough review of the debt relationship, which includes an analysis of credit and litigation risk from which we develop a timely, cost effective strategy. We represent a wide variety of creditors including banks, insurance companies, property management firms, real estate investment trusts, asset based lenders, commercial finance companies, indenture trustees, bondholders, receivers, and creditors' committees.   • Environmental
    Carlton Fields’ well-known environmental regulation and litigation team has decades of experience handling difficult permitting, regulatory, and litigation matters. To assist on large disputes, the firm also offers a broader group of lawyers who have handled challenging environmental permitting and litigation matters. Most of our lawyers and planners have substantial experience appearing before the various federal, state, and local agencies.     We represent diverse land use clients including large-scale private commercial, residential, and industrial developers, along with governmental bodies facing litigation challenges. Our comprehensive land use representation has included helping clients locate viable development or redevelopment sites, and identifying any relevant land use issues for entitlements. Our representation often continues through completion of a development project, and includes issues related to permitting, public lands leases and easements, local government approvals, lobbying, litigation, and appeals.   • Tax

  • Represented a financial services organization, as landlord, in numerous leasing transactions for space in Class A office buildings, industrial and warehouse properties, and in shopping centers, shopping malls and mixed-use projects.
  • Represented an institutional landlord in numerous leasing transactions in a 956,000 square foot office complex in Tampa, Florida.
  • Represented an educational consulting company, as tenant, in the negotiation of a new lease to relocate to new corporate headquarters in Coral Gables, Florida.
  • Represented an athletic event organizer and promoter, as tenant, in the negotiation of an expansion of its corporate headquarters in Tampa, Florida.
  • Represented an aerospace engineering company, as tenant, in the negotiation of a ground lease and facility sublease for the construction of a new facility in Tampa, Florida.
  • Represented landlords in multiple leases of equestrian facilities in Wellington, Florida.
  • Represented a hospital in the negotiation of a ground lease and facility sublease in connection with the development and construction of a medical facility in Tampa, Florida.
  • Represented multiple hospitals as sub-landlords in subleases of medical office space to physician groups.
  • Represented a hospital as tenant in multiple direct leases of medical office space in Tampa, Florida.
