Nader A. Amer

Nader Amer’s practice focuses on fiduciary and shareholder derivative litigation, securities litigation and enforcement, and complex commercial litigation.

Nader has represented special litigation committees and shareholder demand review committees, counseled board factions navigating proxy fights, and assisted directors and officers in navigating parallel, multistate fiduciary litigation. He works with clients on disputes related to mergers and acquisitions, directors and officers advancement actions, dissolution proceedings, and proceedings for the appointment of receivers. He has also represented Fortune 500 companies in internal investigations and defended broker-dealers and investment advisers in enforcement proceedings, including those alleging breaches of fiduciary duty.

Admitted to practice in Florida and Delaware, Nader had early experience in his career litigating in the Delaware Court of Chancery, and then in federal and state courts throughout Florida following his relocation to Miami. He increasingly represents clients in litigation outside of those states.

His experience in commercial litigation spans the real estate, hospitality, and banking sectors, and has included noncompete disputes and the defense and prosecution of allegations of deceptive trade practices, breach of contract, interference with business relationships, and other business torts.

Nader also has significant experience in corporate reorganizations. He has litigated on behalf of multimillion-dollar unsecured creditors in Chapter 11 reorganizations, including midstream contract counterparties and commercial tort claimants. His corporate reorganization experience also includes representing Chapter 11 debtors in possession, equity committees, lenders, and other parties.

Outside of litigation and controversy matters, Nader advises public and private companies, and their directors, on corporate governance matters.
