Overview

Giovanni Biscardi is a member of the firm's Business Transactions Practice focusing on mergers and acquisitions, as well as general corporate matters. He also assists U.S. private equity funds structuring their investments throughout Latin America.

Giovanni has a long track record of handling complex trans-border transactions for Fortune 500 companies and private equity funds. He has also gathered significant legal and business experience in numerous international jurisdictions, including Argentina, Brazil, Canada, Chile, China, France, Italy, and Spain. Additionally, he assists foreign individuals and entities with their investments in the United States.

Prior to joining the firm, Giovanni was a partner of a premier Brazilian law firm, serving as a member of the firm’s Management Committee and managing partner of the Rio de Janeiro office.

  • Assisted Brazilian Vale Fertilizantes (fertilizer), a subsidiary of Vale S.A., in $234 million sale of Brazilian Araucária Nitrogenados (fertilizer plant).
  • Structured the consolidation of $2 billion in power and energy assets (plants, projects, and concessions) of Vale S.A. (mining) and CEMIG (power and energy) into a joint venture.

  • Assisted Vale S.A. (mining) in $160 million acquisition of equity participation in Companhia Siderúrgica de Tubarão (jointly with French Arcelor), and subsequent sale of Vale’s participation to Arcelor.
  • Assisted Chinese Citic Group with construction agreement to build coking plant for Brazilian Thyssenkrupp CSA Siderúrgica do Atlântico steel plant.
  • Assisted Canadian Tuscany International (oil drilling services) in $220 million acquisition of French Caroil (oil drilling services), a transaction involving multiple jurisdictions (Europe, Africa, and South America).
  • Assisted Canadian Tuscany International (oil drilling services) in $52 million acquisition of Brazil/Ecuador Drill For Perfurações (oil drilling services).

  • Assisted Brazilian Toptherm (No. 1 direct sales group in Brazil) in establishing Nutop International as a subsidiary to launch its business in the United States.
  • Assisted Brazilian Omni55 in negotiations and formation of cobasi.com, a joint venture with Brazilian Cobasi (No. 1 pet store chain in Brazil).
