Overview

Giovanni Biscardi is a member of the firm's business transactions practice group focusing on mergers and acquisitions, as well as general corporate matters. He also assists U.S. private equity funds structuring their investments throughout Latin America.

Giovanni has a long track record of handling complex trans-border transactions for Fortune 500 companies and private equity funds. He has also gathered significant legal and business experience in numerous international jurisdictions including Argentina, Brazil, Canada, Chile, China, France, Italy, and Spain. Additionally, he assists foreign individuals and entities with their investments in the United States.

Prior to joining the firm, Giovanni was a partner of a premier Brazilian law firm, serving as a member of the firm’s Management Committee and Managing Partner of the Rio de Janeiro office.

Experience

  • Assisted Chinese Wuhan Iron and Steel Group — WISCO (mining and steel) in $400 million acquisition of equity participation in Brazilian MMX (mining) and structuring of related off-take iron ore arrangement.
  • Assisted U.S. private equity fund Riverwood Capital (technology) in $52 million acquisition of Synapsis (information technology).
  • Assisted Brazilian Petrobras S.A. (oil) in $68.2 billion public offering of common and preferred shares listed on the Sao Paulo Stock Exchange and ADRs representing common and preferred shares listed on the NYSE — the largest offering in the world.
  • Assisted Brazilian Vale S.A. (mining) with the increase of its equity participation in ThyssenKrupp CSA Siderurgica do Atlantico (steel plant) through a EUR865MM capital subscription.
  • Assisted Canadian Tuscany International (oil drilling services) in the $220 million acquisition of French Caroil (oil drilling services), a transaction involving multiple jurisdictions (Europe, Africa, and South America).
  • Assisted founding shareholders in the $33 million sale of Brazilian Suntech (information technology) to Israeli Verint (security technology).
  • Assisted Canadian Tuscany International (oil drilling services) in $52 million acquisition of Brazil/Ecuador Drill for Perfuracoes (oil drilling services).
  • Assisted U.S. Equinix (global data center) and U.S. private equity fund Riverwood Capital (technology) in $127 million acquisition of Brazilian Alog (data center).
  • Assisted U.S. private equity fund Riverwood Capital (technology) in $23.5 million acquisition of Brazilian Mandic (information technology) and subsequent subscription of capital stock by new shareholder U.S. private equity fund Intel Capital (technology).
  • Assisted Brazilian Vale S.A. (mining) in the $375 million acquisition of remaining interest in Brazilian Empresa Brasileira de Mineracao — EBM (mining) from certain Japanese shareholders, consolidating a 100 percent interest in the company.
  • Assisted Brazilian Vale Fertilizantes (fertilizer), a subsidiary of Vale S.A., in the $234 million sale of Brazilian Araucaria Nitrogenados (fertilizer plant) to Brazilian oil giant Petrobras S.A.
  • Structured the consolidation of $2 billion in power and energy assets (plants, projects, and concessions) of both Vale S.A. (mining) and CEMIG (power and energy) into a joint venture.
