Overview

Shannon Gray's practice focuses on secured financing and commercial real estate transactions, including loans secured by business assets and real estate. Shannon has experience with structuring real property conveyances and mortgage loans so as to minimize the amount of taxes due in connection with such transactions. Shannon frequently represents financial institutions in syndicated loan facilities, loan participations, mezzanine financing, and complex business and corporate loan transactions. Shannon also has an extensive opinion practice, frequently acting as Florida counsel and providing legal opinions in Florida financings and routinely serving as local counsel in connection with multistate loans and securitizations involving Florida real property.

Shannon has recently extensively practiced in the loan workout area, identifying issues and suggesting solutions to problem loan transactions. As part of this practice, she has also represented sellers and purchasers of distressed real estate and loan portfolios.

Experience

  • Lead counsel to insurance company as lender in connection with a $100 million loan secured by warehouse facilities in six states.
  • Represented national health care leader in connection with a $100 million-plus HUD insured mortgage loan secured by 18 assisted living facilities throughout Florida.
  • Represented borrower in connection with the refinancing of a $60 million revolving asset based loan.
  • Lead counsel to timeshare lender in connection with multiple multimillion-dollar acquisition and receivable loans with respect to timeshare resorts in nine states.
  • Represented borrower as local Florida counsel in connection with the review of documents and preparation and issuance of an opinion letter for a $350 million securitization of timeshare receivables.
  • Represented seller in connection with the sale of a 494-unit apartment complex in Broward County, Florida.
  • Represented lender in connection with the modification of a loan secured by mortgages in nine states.
