Overview

Carlos Mas has represented various clients with general corporate and transactional matters, including contract negotiation and preparation, mergers and acquisitions, debt and equity financings, corporate governance and employee relations, the formation and organization of corporations, limited liability companies, and partnerships.

Carlos also represents clients with public and private offerings of securities, as well as SEC disclosure issues. His work also includes providing legal advice in connection with a variety of commercial loan transactions, including asset-based financing, term loan agreements, revolving credit agreements, letters of credit, reimbursement agreements, and loan participation agreements.

Carlos is AV rated by Martindale-Hubbell and has been named an "Up & Comer" by the South Florida Legal Guide from 2008–2013. He was also selected to the 2013 Florida Rising Stars list by Super Lawyers Magazine.

  • Represented U.S.-based television, online and catalog retail company with various matters including:
    • Corporate governance, as well as its filings with the Securities and Exchange Commission
    • Acquisitions and dispositions of business segments
    • Refinancing of its credit facility
  • Represented U.S.-based provider of integrated IT and networking solutions in connection with various financing transactions including:
    • $25 million transaction involving the acquisition of a Brazilian provider of integrated communications solutions to telecommunications operators, corporations, financial clients, and governments in Brazil.
    • $30.3 million debt financing involving the sale of convertible promissory notes.
    • $35 million private placement of convertible preferred stock.
    • $100 million debt and equity financing transaction including $60 million private placement  of convertible preferred stock and a $40 million credit facility.
    • $13 million secured loan transaction involving its principal subsidiary.
    • $20 million acquisition of a provider for long-distance telecommunications services in Latin America, the United States, and Europe.
  • Represented Miami-based provider of audio and visual equipment and related services to the hospitality industry, connected with a $9 million secured financing transaction with a multinational banking and investment advisory firm.
  • Represented U.S.-based beef distributor connected with $15 million sales transaction involving one of its business divisions and a $6.5 million secured loan transaction and a joint venture arrangement with a Chilean producer of beef products.
  • Represented U.S.-based long-distance telephone services provider connected with its proposed acquisition of public telecommunications company.
  • Represented U.S.-based distributor of fragrance worldwide connected with a $10 million secured loan transaction and its distribution agreements with various manufacturers.
