Carlton Fields provides legal and business advice and assistance to Asia-Pacific companies and individuals conducting business in the United States, and to American companies and individuals in their business endeavors in the Asia-Pacific region.
Our Asia Desk is comprised of attorneys and professionals with strong credentials and experience in a variety of practice areas. The team includes attorneys who are fluent in Mandarin and Thai. We appreciate the legal, commercial, political, and cultural climates in various East and South Asian regions, and counsel clients accordingly.
We are experienced in matters that range from nine-figure deals to personalized tax planning for high net worth individuals. Our Asia-Pacific team works closely with, and leverages, the experiences of our other international teams to serve our Asia-Pacific clients in regions beyond the United States, and vice-versa. - Represented $6 billion China-based consumer electronics conglomerate in various matters.
- Assisted Chinese Wuhan Iron and Steel Group (mining and steel) in $400 million acquisition of equity participation in Brazilian MMX (mining) and structuring of related off-take iron ore arrangement.
- Assisted Brazilian Vale S.A. (mining) in the $375 million acquisition of remaining interest in Brazilian Empresa Brasileira de Mineração (mining) from certain Japanese shareholders, consolidating a 100 percent interest in the company.
- Represented leading electronics manufacturer based in China and several of its subsidiaries and affiliates in China, the United States, and the British Virgin Islands in connection with the $12 million sale of certain assets and divisions as well as the private placement of securities.
- Represented affiliate of a leading electronics manufacturer based in China in connection with an $8 million investment by an affiliate of a multinational computer technology and consulting corporation.
- Represented shareholders of a New Jersey-based worldwide chemical manufacturer and its global affiliates in the sale of all of its stock to a national private equity company; The target had operations in Central and South America, South Africa, the People’s Republic of China and Hong Kong, and manufactured and supplied chemical ingredients to the personal care industries worldwide.
- Handled negotiations of a $200 million per year contract with the Japanese government to provide temporary power generation in the wake of the earthquake and tsunami, one of the largest transactions to date regarding the recovery efforts in Japan.
- Advised U.S. manufacturer of lighting fixtures on licensing agreements with Chinese manufacturer.
- Tax structuring for numerous inbound foreign investment transactions.
- Pre-immigration tax planning for numerous executives relocating to the United States.
- Tax structuring for estate planning purposes for non-U.S. high net worth individuals.
- Represented Japanese manufacturer in class action products dispute in the United States.
- Represented Hong Kong business in dispute with Washington, D.C., business.
