Overview

Paul Diouf advises public and private companies, startups, investors, developers, lenders, and pension funds on complex real estate and corporate matters. His practice includes acquisitions and dispositions, commercial leasing, joint ventures, real estate development, corporate governance, and both domestic and cross-border mergers and acquisitions.

Having practiced in both California and Paris, Paul brings a unique international perspective to U.S. and European business matters. He has represented public and private companies, institutional investors, multinational companies, developers, and investment funds in sophisticated domestic and cross-border real estate and corporate transactions, including large-scale acquisitions, portfolio transactions, and strategic investments.

Paul has extensive experience representing clients in the health care, hospitality, multifamily, logistics, retail, and office sectors. He regularly counsels clients on commercial real estate transactions, financing arrangements, construction matters, and asset management issues.

Before joining Carlton Fields, Paul practiced with leading international law firms in Paris, where he advised clients on significant real estate and investment transactions throughout Europe.

Paul also serves as general counsel to the Consulate General of France in Los Angeles, advising individuals and businesses on investments and operations in the United States.

Experience

  • Advised a public company in the electronic monitoring industry in negotiating and documenting its $100+ million acquisition of a private equity group’s portfolio company.
  • Advised a public company on an internal restructuring following a multi-step acquisition.
  • Advised PHC Holdings Corp. on its acquisition of Micro Microtech France (MM France) and Laurypath as part of a strategic expansion of Epredia's presence in Europe.
  • Advised KSL Capital Partners on the acquisition of Les Hôtels d’en Haut, a subsidiary of Perseus. The transaction involved five four- and five-star hotels: Les Roches Rouges (Saint-Raphaël), Le Val Thorens and Fitz Roy (Val Thorens), Les Trois Vallées (Courchevel 1850), and Alpaga, (Megève).
  • Advised AD Education's founder, majority shareholder, and CEO on the sale of a majority stake to Ardian, a leading global private equity firm.
  • Advised Educapital and Citizen Capital Partenaires on the acquisition of Sentimy for approximately €5 million.
  • Advised ECT INVEST, the holding company of the ECT Group, on the sale of its majority stake by shareholders.
  • Advised AEW on the sale of Tower W, a 37,000 sq. m. fully leased tertiary building located in La Défense, to the American investor Ares Management.
  • Advised AXA IM – Real Assets on the acquisition of a 275,000 sq. m. pan-European core logistics portfolio from AEW.
