Overview
As a health care transactional attorney, Linda Fleming assists providers in all phases of the business cycle, from formation of new entities, creation of joint ventures, acquisitions of businesses, to exit strategies, including mergers and buy/sell transactions. With more than 30 years of legal experience, she has focused her practice in health care matters for the last three decades. She represents hospitals and health systems, large physician groups, ambulatory surgery centers and owners of health care providers, including public entities. In her role as a transactional lawyer, Linda participates in client teams for acquisitions, new facilities, and expansions, negotiates deals, drafts purchase and sale agreements and related transaction documents, and advises clients on corporate, contract, regulatory, and governance matters.
Linda has written and spoken extensively on the Affordable Care Act and has served on the board of several not-for-profit organizations.
Experience
- Represented health system in public bond financing transactions and private loans.
- Represented health system in acquisition of equity stake in multiple urgent care centers.
- Represented health system in formation of ambulatory surgery centers and sales of minority interests to physicians.
- Represented hospital in long-term global purchased services agreements with a Florida university.
- Assisted hospital with development of campus emergency departments and supporting services, including radiology and lab.
- Assisted client in the creation of a community pharmacy.
- Assisted hospital in spinoff of physician practice and admission of new physician entity into the hospital’s obligated group.
- Represented hospital in creation of physician practices.
- Represented Planned Parenthood of Southwest and Central Florida Inc. in a merger, leading to the creation of a statewide Planned Parenthood affiliate covering all of Florida.
- Represented hospice in its affiliation with a larger, nonprofit hospice system.
- Represented public entities in long-term hospital lease transactions.
- Represented Tampa General Hospital in its conversion from a public hospital to a private, not-for-profit corporation with tax-exempt status and continued representation post-closing.
