Frederick Ou focuses on corporate law and business transactions, advising both domestic and international clients on venture capital financing, private equity deals, mergers and acquisitions, and all aspects of business formation, governance, and compliance. His clients include startups, emerging companies, and established enterprises across various industries, such as life sciences (e.g., biotech, biopharmaceuticals, medical devices, and health care), nonprofit organizations, software, financial services, consulting, real estate development, and hospitality.
Recognized for his thorough, detail-oriented approach, Frederick meticulously reviews every aspect of a transaction to address key concerns, align with client objectives, and ensure a seamless process. His practice includes counseling clients on pre-sale preparation, negotiating and structuring transactions, managing due diligence, and advising on post-transaction integration. He also represents clients in financing and investment matters, including debt-related financing, secured transactions, and preparing for outside investment.
In addition, Frederick advises clients on regulatory and compliance matters, including Committee on Foreign Investment in the United States (CFIUS) reviews, anti-money laundering (AML) and know-your-customer (KYC) obligations, data privacy and security, export controls, and government contracts. He has extensive experience drafting and negotiating business agreements, including merger and acquisition documents, employment contracts, financing agreements, and regulatory compliance documents across a broad range of industries, such as health care, legal services, construction, and insurance.
Before joining Carlton Fields, Frederick worked at a boutique law firm in Massachusetts, where he served as one of the lead attorneys in the firm’s corporate practice.
